1. Acceptance of Terms
Welcome to VANGUARD28 TRANSPORT SERVICES (“Company,” “we,” “us,” “our”). These Terms and Conditions (“Terms”) govern your access to and use of our transportation, logistics, and related services, including our website vanguardtransportservices28.com, mobile applications, and customer service (collectively, the “Services”).
By accessing or using our Services, you (“Customer,” “you,” “your”) acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you may not use our Services.
2. Services Description
VANGUARD28 TRANSPORT SERVICES provides freight transportation, logistics, and supply chain management services. We act as a service provider arranging for the transportation of goods by independent carriers or our own fleet. All services are subject to these Terms and the information provided in the applicable bill of lading, shipping order, or service quote (“Shipping Documents”).
3. User Account and Registration
To access certain Services, you may be required to create an account. You agree to:
Provide accurate, current, and complete information during the registration process.
Maintain and promptly update your account information.
Maintain the security of your password and accept all risks of unauthorized access.
Notify us immediately of any unauthorized use of your account.
Be responsible for all activities that occur under your account.
4. Booking, Quotes, and Payment
Quotes: All quotes provided are estimates based on the information supplied by you and are valid for a specified period. Final charges may differ due to factors such as actual weight/dimensions, changes in fuel surcharges, accessorial services required, or incorrect information provided.
Booking: A booking is confirmed once you receive a confirmation from us. You are responsible for ensuring all shipment details (pick-up/delivery addresses, contact information, item description) are accurate.
Payment: You agree to pay all charges and fees associated with your shipment as outlined in the invoice. Payment terms are [e.g., Net 15 days] unless otherwise agreed in writing. Late payments may be subject to interest charges. You are responsible for any applicable taxes.
5. Prohibited Items
You agree not to tender for transportation any items that are illegal, hazardous, dangerous, or otherwise prohibited by law. This includes, but is not limited to:
Explosives, firearms, and ammunition.
Flammable liquids and gases.
Toxic, radioactive, or corrosive materials.
Perishable goods requiring refrigeration, unless explicitly agreed in writing.
Cash, precious stones, live animals, or illegal substances.
The Company reserves the right to inspect any shipment. If a prohibited item is discovered, we may refuse the shipment, suspend Services, and/or report it to the relevant authorities, at your sole cost and expense.
6. Shipping, Transit, and Liability
Bill of Lading: The Bill of Lading is the primary contract of carriage between you and the carrier. Our role may be as a broker arranging the transportation. The terms and conditions of the carrier’s bill of lading will also apply.
Title and Risk: You retain title and bear all risk of loss for the goods until they are delivered and signed for at the destination.
Transit Times: All transit times provided are estimates and are not guaranteed. We are not liable for delays caused by factors beyond our reasonable control, including but not limited to weather, mechanical failure, traffic, customs delays, or acts of God (“Force Majeure”).
Limitation of Liability: OUR LIABILITY FOR LOSS, DAMAGE, OR DELAY TO YOUR SHIPMENT IS STRICTLY LIMITED AS PER OUR STANDARD TERMS, WHICH ARE INCORPORATED INTO THE SHIPPING DOCUMENTS. UNLESS YOU DECLARE A HIGHER VALUE AND PAY AN ADDITIONAL SURCHARGE, LIABILITY SHALL BE LIMITED TO A SPECIFIED AMOUNT PER POUND OF WEIGHT (E.G., AS PER THE RELEVANT CARRIER’S TERMS OR APPLICABLE LAW). WE ARE NOT LIABLE FOR CONSEQUENTIAL, INCIDENTAL, OR SPECIAL DAMAGES, INCLUDING LOST PROFITS OR INCOME.
7. Claims for Loss or Damage
Any claim for loss or damage must be filed in writing with us within a specified period (e.g., 9 months) from the date of delivery (or the expected delivery date for lost shipments). You must provide all relevant documentation, including the original bill of lading, proof of value, and evidence of damage. Failure to file a timely claim will result in a waiver of the claim.
8. Indemnification
You agree to indemnify, defend, and hold harmless VANGUARD28 TRANSPORT SERVICES, its affiliates, and their respective officers and agents from and against any and all claims, damages, liabilities, losses, and expenses (including reasonable legal fees) arising out of or relating to:
Your breach of these Terms.
Your violation of any law or the rights of a third party.
The nature of the goods you shipped (e.g., hazardous materials).
9. Disclaimer of Warranties
THE SERVICES ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS. TO THE FULLEST EXTENT PERMITTED BY LAW, VANGUARD28 TRANSPORT SERVICES EXPRESSLY DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS OR IMPLIED, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VANGUARD28 TRANSPORT SERVICES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM (A) YOUR USE OR INABILITY TO USE THE SERVICES; (B) ANY UNAUTHORIZED ACCESS TO OR USE OF OUR SERVERS; OR (C) ANY CONDUCT OR CONTENT OF ANY THIRD PARTY ON THE SERVICES.
11. Termination
We may suspend or terminate your account or access to our Services at our sole discretion, without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties, or for any other reason.
12. Governing Law and Dispute Resolution
